1. Acceptance of These Terms

By accessing this website or engaging our services, you confirm that you have read, understood and agreed to be bound by these terms. If you do not agree, please do not use the website or our services. Where you engage us on behalf of a company or another organization, you confirm that you have the authority to bind that organization to these terms.

These terms apply together with any written quotation, statement of work or job ticket we issue. If there is a conflict between these terms and a signed statement of work, the statement of work controls for the specific engagement it covers. Nothing in these terms limits a right that cannot lawfully be limited.

2. Description of Services

BRUHSOON LLC provides rapid print and digital delivery services through six core offerings: Sprint Print Runs, Identity Sheet Design, Duplex Batch Output, Archive Digitization, Color Proof Sessions and Delivery Pipeline Setup. Each service is described on our services page, and the description there forms part of these terms.

We may add, change or withdraw a service, a stock or a scheduling option over time. We will not change the terms of a job that has already been confirmed without telling you first and obtaining your agreement where the change is material.

3. Eligibility and Authority

You must be at least the age of legal majority in your jurisdiction to engage our services or to submit materials to us. By submitting materials, you confirm that you own them or have the authority to have them reproduced, and that doing so does not infringe the rights of any third party.

Where a job involves personal information about other people, you confirm that you have a lawful basis to share that information with us for processing and that you have given any notice that the law requires. You remain responsible for the information you send, and we process it only to complete the job you have requested.

4. Quotations and Estimates

A quotation states the price for a defined scope, quantity, stock and delivery arrangement. A quotation is valid for the period stated on it, and if no period is stated it is valid for fourteen days. A quotation is an invitation to place an order and does not create a binding contract until we confirm the order and, where required, receive a deposit.

If the scope of a job changes after the quotation is issued, such as an increase in quantity, a change of stock or added finishing, we will reissue the price before the work proceeds. We do not silently absorb or pass on a change, because an honest price is part of the service.

5. Orders and Sprint Windows

A sprint window is the agreed period during which a batch is produced. When we confirm an order, we reserve a window on the drum calendar and record the stock, ink and finishing you have chosen. You agree to supply approved files and any required deposit before the window opens, because a window cannot be held open once the drum schedule has moved on.

If you cancel or postpone an order after the window has been reserved, we may charge for materials already cut, ink already loaded and time already reserved. If we must move your window for our own reasons, we will tell you promptly and offer the nearest alternative window or a full refund of any deposit.

6. Client Materials and Files

You retain ownership of the documents, images and files you send to us. You grant us a limited, temporary licence to store, open, convert, print and finish those materials for the sole purpose of completing your job. That licence ends when the job is complete and any agreed master or backup retention period has expired.

You are responsible for the accuracy and legality of your materials. You confirm that your materials do not contain unlawful content and do not infringe copyright, trade mark, privacy or any other right. If a third party claims that your materials infringe a right, you agree to address that claim, and we will cooperate by providing the run records we hold.

7. Intellectual Property

This website, its text, its layout and the design of its print room motif belong to BRUHSOON LLC and are protected by applicable law. You may not copy, republish or reuse the website content for a commercial purpose without our written permission.

Where we create a design for you, such as an identity sheet or a template, ownership of the final approved design transfers to you once the job is paid in full. We retain ownership of our underlying working files, reusable components and internal tools, and we may reuse generic layout knowledge that does not contain your confidential information.

Nothing in this section grants either party a right to use the other party name, logo or trade mark in a public statement without prior written permission. Where you consent to a case study or a sample of finished work, that consent covers only the material described and may be withdrawn for future use by written notice. A withdrawal does not affect material already printed or distributed before the notice is received.

8. Proofs and Approval

Where a job calls for a proof, we will ask you to approve the actual sheet before the production run begins. Approval may be given in person at a Color Proof Session or in writing. Once you approve a proof, the approved version becomes the reference for the production run.

We are not responsible for an error that was visible on an approved proof, such as a spelling mistake or a colour you approved. We are responsible for a defect that departs from the approved proof, and in that case we will reprint the affected batch at no additional charge.

Where a proof reveals a problem that would be costly to fix after the full run, we will raise it before printing begins rather than proceed quietly. A decision to print despite a known issue is yours to make, and we will note that decision on the job ticket so the record is clear. If no proof is requested, the file you supply becomes the reference for the run.

9. Pricing and Payment

Prices are stated in United States dollars unless a quotation says otherwise. Where a deposit is required, the job is scheduled once the deposit is received. The balance is due on delivery or within the period stated on the invoice.

We may charge interest on an overdue balance where the law allows, and we may pause further work on an account with an unpaid balance after giving notice. You are responsible for any tax that applies to your order, other than a tax on our own income. If a payment is refunded, we will refund it in the same manner it was received.

A deposit is applied to the final invoice for the same job and is not transferable to another order without our agreement. Where a job is cancelled before the window opens, we refund the deposit less any materials already purchased for that job. We keep a clear record of every invoice and payment so that a question about a balance can be answered quickly and accurately.

10. Turnaround and Delivery

A turnaround estimate is our honest expectation based on the schedule at the time it is given. It is not a guarantee where a delay arises from a cause outside our reasonable control, such as a courier failure, a power interruption or a file that arrives late or corrupted.

Delivery is complete when the finished work is handed to you or to a courier at our West Jordan facility. Risk passes to you at that point. Where we arrange shipping, we choose a reputable carrier, but we are not responsible for a delay in transit once the shipment has left our floor.

11. Archive Digitization Terms

For digitization work, you remain the owner of the original records and of the digital images we produce for you. We treat the records as confidential and handle them only to complete the job. You agree to declare any record that requires special handling, such as a bound volume that cannot be unbound or a fragile page that must be photographed rather than fed.

We agree a naming rule and a delivery format before scanning begins, and we deliver an index along with the image files. After handover and acceptance, we wipe the working drive and return the originals. We are not responsible for the physical condition of a record that was already fragile when it arrived, provided we handle it with the care the condition requires.

12. Delivery Pipeline Setup Terms

Delivery Pipeline Setup delivers a documented process, which may include intake rules, job tickets, status boards and small scheduling tools. The pipeline is delivered as a working arrangement for your team, together with a written reference describing each step and its owner.

Once a pipeline is accepted, your team is responsible for operating it. We support the pipeline for a stated period after handover, and any change or extension is a new engagement. Where a pipeline relies on a third party tool, the continued availability of that tool is outside our control, and we will tell you if a dependency is essential.

13. Acceptable Use

You agree not to use this website or our services to produce material that is unlawful, defamatory or infringing, or to send files that contain malicious code. You agree not to attempt to gain unauthorised access to our systems, to interfere with the website, or to use automated tools to place an unreasonable load on our infrastructure.

We reserve the right to refuse a job that we believe is unlawful or that would require us to breach an obligation to a third party. Where we refuse a job, we will explain the reason to the extent we can and will refund any amount already paid for work not performed.

14. Confidentiality

Each party agrees to keep the confidential information of the other party private and to use it only for the purpose of the engagement. Confidential information includes client documents, run records, pricing terms and any information marked as confidential or that a reasonable person would treat as confidential.

Confidentiality does not apply to information that is already public, that a party already held without a duty of confidence, or that a party must disclose because the law compels it. Where disclosure is compelled, the disclosing party will give notice where lawful so that protective steps can be considered.

15. Disclaimer of Warranties

This website and our services are provided on a professional and commercially reasonable basis. Except for the express commitments in these terms, we disclaim all other warranties to the fullest extent the law allows, including an implied warranty of merchantability or fitness for a particular purpose.

We do not warrant that the website will be uninterrupted or free of error, or that a particular colour will match a screen image exactly, because ink on paper naturally differs from light on a display. We do commit to professional workmanship and to correcting a defect that departs from an approved proof.

16. Limitation of Liability

To the fullest extent the law allows, BRUHSOON LLC is not liable for indirect, incidental, special or consequential loss, including lost profit, lost data or lost opportunity, arising from the use of this website or our services. Our total liability for a job is limited to the amount you paid for that job.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence. Where a jurisdiction does not allow a particular limitation, that limitation applies only to the extent permitted, and the rest of these terms remains in force.

17. Indemnity

You agree to indemnify and hold BRUHSOON LLC harmless from a claim, loss or expense that arises from your materials, from your breach of these terms, or from your failure to hold the rights and notices required to submit the materials you send to us.

We agree to indemnify you from a claim that our own workmanship or our own website infringes a right, provided you notify us promptly and allow us to control the defence. This mutual indemnity reflects a fair division of responsibility rather than a shifting of risk.

18. Suspension and Termination

We may suspend or terminate access to the website or the provision of services if you materially breach these terms, if an account balance remains unpaid after notice, or if continuing would require us to act unlawfully. Where we terminate for convenience, we will finish work already in progress or refund the amount paid for work not performed.

You may terminate an engagement by written notice. Termination does not affect a right or obligation that arose before it, including the obligation to pay for work already completed and the duty of confidentiality, which survives termination.

19. Force Majeure

Neither party is liable for a delay or failure caused by an event outside that party control, such as a natural disaster, a widespread power failure, a network outage, an epidemic or an act of government. The affected party will give prompt notice and take reasonable steps to reduce the effect of the event.

If such an event continues for a prolonged period, either party may end the affected engagement and, where work has been paid for but not performed, we will refund the amount for the unfinished work.

20. Governing Law and Disputes

These terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to a conflict of laws rule. The courts located in Salt Lake County, Utah have jurisdiction over a dispute that is not resolved informally.

Before starting formal proceedings, we ask that you contact us and describe the issue, because most matters can be resolved with a short conversation. If informal resolution does not succeed, either party may pursue the remedies available under law.

21. Changes to These Terms

We may update these terms to reflect a change in our services or in the law. When we do, we will revise the date at the top of the page and, for a material change, we will make the change prominent on the website or contact affected clients directly.

A change applies to a new engagement from the date it takes effect. A confirmed job continues to be governed by the terms in force when it was confirmed, unless a change is required by law.
